Terms of service

These Terms of Service (“Terms”) govern your purchase, access, and use of VaultAI products and services, including hardware devices, preloaded software, and any related updates or support (collectively, “VaultAI Products”). By purchasing or using any VaultAI Product, you agree to be bound by these Terms. If you do not agree, do not purchase, install, or use the product.
1. Products Covered
These Terms apply to:

VaultAI hardware devices

Preloaded AI software, models, and applications shipped with VaultAI hardware
-
VaultAI-provided updates, documentation, and support services
2. License & Ownership
2.1 Proprietary VaultAI Software & Hardware
When you purchase VaultAI hardware preloaded with VaultAI software, you receive a non-exclusive, non-transferable, perpetual license to use the proprietary VaultAI software on the VaultAI hardware you purchased.
All intellectual property rights in VaultAI’s proprietary software, hardware design, branding, and user interface remain the sole property of VaultAI.
You may not copy, reverse-engineer, resell, rent, or distribute VaultAI’s proprietary software or hardware designs except where expressly permitted by law.
2.2 Included Open-Source Software & Models
VaultAI devices come preloaded with certain open-source software packages, AI models, and frameworks (e.g., Ollama, Mistral, LLaMA, DeepSeek, MetaGemma, CodeLlama, Nomic, Phi-3, and others) which are not owned by VaultAI. These components are distributed subject to their respective open-source licenses (e.g., Apache 2.0, MIT, or other applicable licenses), copies of which are provided in the system and/or linked in documentation.
Your use of these components is governed by their original licenses in addition to these Terms. By using VaultAI, you agree to comply with those licenses, including any attribution, notice, and usage restrictions.
VaultAI does not remove or alter any copyright or license notices included in these components, and you may not do so.
2.3 Restrictions & Compliance
Some open-source models and frameworks impose restrictions on use in certain jurisdictions or for certain purposes (e.g., prohibiting unlawful activity, certain regulated sector use, or redistribution to sanctioned countries). You are solely responsible for ensuring that your use of such models complies with all applicable license terms and laws.
VaultAI makes no warranty as to your right to use the included open-source models for commercial purposes in your jurisdiction; you must independently confirm compliance.
2.4 Updates, Model Replacement & Deprecation
VaultAI may update, replace, or remove preloaded models or software at any time in order to maintain performance, security, licensing compliance, or hardware compatibility. Updated models may have different capabilities, performance characteristics, or licensing terms, which will be provided to you with the update.
3. Hardware Warranty

VaultAI hardware is covered by a one-year limited warranty against defects in materials and workmanship under normal use.

Warranty does not cover damage from misuse, modification, accidents, unauthorized repairs, or normal wear and tear.

For warranty claims, contact support@vaultai.us with proof of purchase and details of the issue. VaultAI will repair, replace, or refund at its discretion.
4. Returns & Refunds

Returns must follow our Return & Refund Policy (see website for latest version).

Non-defective returns must be initiated within 14 days of receipt, with original packaging and all accessories included.

Refunds are processed after inspection and may exclude shipping fees.
5. Software Updates

VaultAI may provide offline or online updates for functionality, security, or performance improvements.

You are responsible for installing updates provided by VaultAI to maintain optimal performance and security.

Updates may add, modify, or remove features without prior notice.
6. Privacy & Data Handling

VaultAI Products operate locally on your hardware—your data is not sent to VaultAI’s servers.

If you choose to use optional online features (e.g., 1-way private search), only the minimum necessary query data is transmitted and is not stored by VaultAI.

You are responsible for securing your own data and backups.
7. Acceptable Use
You may not use VaultAI Products to:

Engage in illegal activities or violate applicable laws

Infringe intellectual property rights of others

Distribute harmful or malicious software

Train AI models for harmful purposes (e.g., disinformation, harassment, exploitation)
8. Limitation of Liability
To the maximum extent permitted by law:

VaultAI is not liable for indirect, incidental, or consequential damages arising from your use of the product.

VaultAI’s total liability is limited to the purchase price of the product.
9. Export Control
You agree to comply with all applicable export and re-export laws and regulations, including those of the United States, when using VaultAI Products.
10. Governing Law
These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict-of-law principles.
11. Changes to Terms
VaultAI may update these Terms at any time. Continued use of the product after changes take effect constitutes your acceptance of the revised Terms.
12. Third-Party Licenses
VaultAI devices include preinstalled open-source software, AI models, and frameworks developed and maintained by third parties. These components are not owned by VaultAI and are licensed under their respective terms. Your use of these components is subject both to these Terms and to each component’s original license.
Below is a list of major third-party software and models included with VaultAI16 Lite at the time of shipping. Updated lists and license texts are provided in your device’s /licenses directory and on the VaultAI support portal.

12.1 Attribution & Notices
All copyright and license notices included in these third-party components remain the property of their respective owners and must be retained in any permitted redistribution.
12.2 Usage Restrictions
Some licenses impose restrictions, such as prohibiting use for certain regulated activities, military purposes, or in sanctioned jurisdictions. You are responsible for ensuring your usage complies with these terms.
12.3 Updates & Changes
VaultAI may replace, add, or remove third-party components over time. Updated license information will be provided with each update.
